Liability of Capital Corporation Supervisory Board

Abstract:

Téma odpovědnosti členů statutárních orgánů kapitálových společností je relativně stálou oblastí, kterou se zabývá jak odborná literatura, tak také rozhodovací praxe soudů. Částečně opomíjenou je v tomto ohledu odpovědnost členů kontrolních orgánů. Ačkoliv základní práva a povinnosti členů těchto orgánů jsou nastavena shodně a měla by se uplatnit bez dílčích rozdílů, mám za to, že tomu tak není. Zaměřuji se proto právě na odlišnosti, které ve vztahu k vymezení povinností a následné odpovědnosti za jejich porušení vyplývají z odlišné role dozorčích rad. Cílem mé práce je tak poukázat na rozdíly v odpovědnosti členů dozorčích rad, ve spojení s instituty, které jsou jinak běžně spojovány se členy statutárních orgánů.

Abstract:

The issue of liability of capital corporation board members is relatively constant area, which has been under focus of both specialized literature and jurisprudence for a long time. In this point of view the liability of capital corporation supervisory board members is still partially neglected. Even though the general duties and obligations of members of these two capital corporation bodies are basically adjusted identically and should be exercised without further differences, it seems that it is not absolute. That is the reason why I concentrate on differences that within the context of determination of duties and consequent liability for their breach arise from diverse role of supervisory board. The objective of my thesis is to point out at the distinctions in liability of supervisory board members, in association with institutes that are usually connected with members of the board.
