The Duty of Care of the Statutory Body in Initiating Preventive Restructuring: an Obligation or Discretion in a Likelihood of Insolvency?

Abstract:

Diplomová práce analyzuje péči řádného hospodáře člena statutárního orgánu v situaci nepříznivého finančního stavu kapitálové společnosti, a to v intencích rozhodných fází pro zahájení preventivní restrukturalizace (závažné finanční potíže, hrozící úpadek a úpadek ve formě předlužení). Předmětem práce je formulace rozhodovacího algoritmu člena statutárního orgánu při řešení nepříznivé finanční situace kapitálové společnosti. Hlavním cílem v tomto rámci je zodpovědět otázku, zda a případně za jakých podmínek je součástí péče řádného hospodáře povinnost zahájit preventivní restrukturalizaci, jsou-li splněny zákonné podmínky jejího zahájení. Pozornost je věnována rovněž souvisejícím dílčím otázkám, jejichž zodpovězení hraje klíčovou roli pro komplexní posouzení hlavní výzkumné otázky.

Abstract:

The thesis analyses the fiduciary duty of a member of the statutory body of a capital company in a situation of corporate financial distress, within the phases decisive for the initiation of preventive restructuring (serious financial distress, likelihood of insolvency and insolvency in the form of over-indebtedness). The subject of the thesis is the formulation of a decision-making algorithm for a member of the statutory body when addressing the adverse financial situation of a capital company. Within this framework, the primary objective is to determine whether, and under what conditions, the fiduciary duty includes an obligation to initiate preventive restructuring, provided that the statutory requirements for its commencement are met. Attention is also given to related questions, the resolution of which plays a key role in the comprehensive assessment of the primary research question.
