Abstract:

Annotation HLAVATÁ, Veronika: A contract on performance of an office according to Slovak and Czech legislation. [Bachelor's thesis]. Banking Institute college Prague, foreign college Banská Bystrica. Department of Law and Social Sciences. Thesis supervisor: JUDr. Adriána Palajová. Thesis submitted in: 2014. Pages in total: 60. The theme is a contract on performance of an office according to Slovak and Czech legislation. The first chapter focuses on the Slovak legislation of this contract, where approximates contract in conjuction with general legislation, with the legal acts and concurrence of this contract with the employment contract. The second chapter deals with Czech legislation of a contract on performance of an office, where is pointing out to the major changes in this institute after the recodification of private Czech law. The third chapter presents the main differences in the Slovak and Czech legislation of a contract on performance of an office and comparing notes a lack of regulation versus Slovak and Czech adjustment. The work stresses the central importance of a contract on performance of an office, which consists of concretisation of rights and obligations of statutory authority in business corporations.

Katedra ekonómie, oceňovania, spoločenských vied a práva. Vedúci práce: JUDr. Adriána Palajová. Rok obhajoby: 2014. Počet strán: 60. Témou práce je zmluva o výkone funkcie podľa slovenskej, ale aj českej právnej úpravy. Prvá kapitola je zameraná na slovenskú právnu úpravu tejto zmluvy, kde približuje zmluvu v súvislosti s jej všeobecnou úpravou, s právnymi úkonmi a súbehom tejto zmluvy s pracovnou zmluvou. Druhá kapitola sa zaoberá českou úpravou zmluvy o výkone funkcie, kde je poukázané na hlavné zmeny tohto inštitútu po rekodifikácii súkromného českého práva. Tretia kapitola predstavuje hlavné rozdiely v slovenskej a v českej úprave zmluvy o výkone funkcie a porovnávaním poukazuje na nedostatočnú slovenskú právnu úpravu oproti českej úprave. Práca zdôrazňuje hlavný význam zmluvy o výkone funkcie, ktorý spočíva v konkretizácii práv a povinností štatutárnych orgánov obchodných spoločností.
