Abstract:

Tématem této diplomové práce je analýza přístupu ke goodwillu z pohledu investovaného kapitálu při výnosovém ocenění společnosti. V práci je uvažováno s goodwillem, který vznikne v účetních výkazech po podnikové kombinaci. K uvažování o goodwillu v investovaném kapitálu je zvolen jako reprezentativní podnik Pivovary Staropramen a.s., který provedl v roce 2012 fúzi sloučením. V úvodní teoretické části jsou nastíněny stručné rešerše čtyř vybraných pramenů na toto téma, které jsou následované vymezením pojmu goodwill z účetního hlediska a vztahem míry investic a goodwillu. Dále jsou v rámci první části práce vymezené i báze hodnoty a jejich vztah ke goodwillu a ocenění. V následující analytické části dochází k popsání a představení variant zacházení s goodwillem, kterému předchází účetní popis zobrazení transakce. V poslední části práce je uveden dopad jednotlivých variant na výsledné ocenění a poslední stať je věnována ocenění pomocí metody EVA.

Abstract:

The topic of this thesis is the analysis of the approach to goodwill from perspective of invested capital in business valuation. The work considers the goodwill that arises in the financial statements after a business combination. As a representative company for further consideration was chosen the company Pivovary Staropramen a.s., which conducted a merger in 2012. In the theoretical part, there is research of four selected sources on this topic, which are followed by the definition of the concept of goodwill from an accounting point of view and the relationship between the level of investment and goodwill. Furthermore, in the first part of the work, the bases of value and their relation to goodwill and valuation are also defined. In the following analytical part, variants of goodwill treatment are described and presented, which is preceded by an accounting description of the display of the transaction. In the last part of the thesis, the impact of individual variants is presented, and in the last section there is mentioned the EVA method.
