Comparison of Czech and German legal regulations for private limited company
Abstract:
This bacherlor thesis compares the legislative of private limited company in the Czech Republic (S.R.O.) and Germany (as GmbH). It focuses mainly on its foundation, rights and duties of shareholders, increase in authorised capital and reduction of authorised capital, organs of the company, dissolution und transformation of the company.
Abstract:
Předložená práce se zabývá srovnáním legislativní úpravy společnosti s ručením omezeným (S.R.O.) v České republice a v Německu (GmbH). Zejména se zaměřuje na vznik společnosti, práva a povinosti společníků, zvýšení a snížení základního kapitálu, orgány společnosti, ukončení a přeměny společnosti.
