Abstract:

V bakalářské práci na téma „Komanditní společnost“ je proveden podrobný rozbor současné právní úpravy komanditní společnosti, která je jednou ze čtyř základních forem společností v České republice. Tyto společnosti jsou zakládány za účelem podnikání. V práci je téma komanditní společnosti rozpracováno celkově, zahrnuje jak její založení a vznik, společenskou smlouvu, na jejímž základě vzniká, tak také zápis do obchodního rejstříku a její zrušení a zánik, tedy poté výmaz z obchodního rejstříku. Je zde popisována hlavní role společníků, jejich úloha ve společnosti i mimo společnost, práva a povinnosti. Jsou zde popsány její výhody, ale také nevýhody a veškerá činnost, co se týče rozdělení zisku a ztráty společnosti. Cílem práce je zhodnotit celkové klady a zápory společnosti. Čtenář by se měl seznámit s problematikou založení a činnosti společnosti a zvážit její výhodnost.

Abstract:

The Bachelor Thesis on "Limited Partnership" is a detailed analysis of the current legislation of the limited Partnership, which is one of the four basic forms of partnerships in the Czech Republic. This partnerships are set up for business purposes. In the Bachelor, the issue of a limited partnership is elaborated in its entirety, it includes both its foundation and its origin, the social contract on which it is based, as well as its entry in the Commercial Register and its cancellation and termination, ie the deletion from the Commercial Register. It describes the main role of the partners, their role in partnership and outside partnership, rights and obligations. There are described its advantages, but also the disadvantages and all the activity in terms of distribution of the partnerships, profit and loss. The main am of the thesis is to evaluate the positives and negatives of the Partnership. The reader should familiarize himself with the issues of foundation and activity of the partnership and consider its prosperity.
