The problematic aspects of contractual penalty

Abstract:

Tématem této práce je smluvní pokuta, konkrétně její problematické aspekty. Hlavním cílem práce je zaměřit se na problematické aspekty, které při četné aplikaci tohoto institutu mohou nastat. V práci je také reflektován historický vývoj, který je pro pochopení tohoto institutu velmi důležitý. První dvě kapitoly jsou ryze teoretické, zato zbylé dvě se více věnují konkrétním aplikačním problémům. S ohledem na to, že lze ujednání o smluvní pokutě nalézt ve velkém množství smluv, je jasné, že tato často stojí vedle jiných institutů (např. náhrada škody, nebo úroky z prodlení), mnohdy je třeba řešit jejich společné fungování. V práci jsem došla k závěru, že ač je nynější občanský zákoník právním předpisem, který se snaží naplňovat autonomii vůle, něco mu lze přeci jen vytknout. I přesto, že není možné, aby bylo v zákoně upraveno naprosto vše a platí princip, že bdělým náleží práva, domnívám se, že je třeba (nejen) u smluvní pokuty alespoň zvážit rozpracování smluvní pokuty v zákoně tak, aby si jeho adresáti mohli být jistější ohledně svých práv a povinností a z nich plynoucích následků již při pohledu do samotného právního předpisu (nikoli až při složitém vyhledávání v četné judikatuře, či ještě četnější odborné literatuře).

Abstract:

The topic of this thesis is the contractual penalty, specifically the problematic aspects of such penalties. The main aim of the thesis is to focus on the problematic aspects that may occur in the various applications of this institute. The thesis also explores the historical development, which is very important for understanding this institute. The first two chapters are purely theoretical, while the remaining two focus on specific application problems. As provisions concerning contractual penalties can be found in a great many agreements, it is clear that these are often stipulated alongside other institutes (such as damage compensation or interest on arrears), and in many cases it is necessary to resolve how such provisions work together. In this thesis I have come to the conclusion that although the current Civil Code is a piece of legislation that strives to fulfil the autonomy of the will, attention may be drawn to certain shortcomings. Despite the fact that it is impossible for the law to cover absolutely everything and that the principle is that the laws of the vigilant are written, I assume that in the case of (not only) contractual penalties it is necessary to at least consider reworking the concept of contractual penalties in the law to give its addressees greater certainty regarding their rights and obligations and their associated consequences from merely reading the actual legislation (not requiring a complicated search in the extensive case law, or in the even more extensive professional literature).
