Net Assets Valuation in Transformations

Abstract:

Tato diplomová práce se zabývá analýzou přeměn obchodních společností uskutečněných v České republice v roce 2021. Cílem práce je provést komplexní analýzu vzorku přeměn se zaměřením na oblast ocenění jmění. Analýza vychází z dokumentů zveřejněných v Obchodním věstníku a Veřejném rejstříku a Sbírce listin. Výsledky provedené analýzy ukazují, že naprostá většina přeměn probíhá mezi spojenými subjekty, nejčastěji jako fúze sloučením po vlastnické ose směrem nahoru. V případě povinnosti ocenění jmění znalcem volilo nejvíce společností za datum ocenění den předcházející rozhodný den, který byl obvykle stanovován na 1. leden. Výsledná hodnota oceněného jmění byla nejčastěji zjištěna pomocí majetkové metody a ve většině případů nebyla upravena o odloženou daň ani o pořizovací cenu podílu. Při vykázání přecenění v účetnictví upřednostňovaly nástupnické společnosti převzetí položek v účetních hodnotách.

Abstract:

This thesis deals with the analysis of corporate transformations in the Czech Republic in 2021. The aim of the thesis is to conduct a comprehensive analysis of a sample of transformations with a focus on the area of valuation of net assets. The analysis is based on documents published in the Commercial Bulletin and the Public Register. The results of the analysis show that the vast majority of transformations take place between related entities, most often as mergers by merging up the ownership axis. In the case of the obligation to have net assets valued by an expert, most companies chose the valuation date as the day preceding the effective date, which was usually set at 1 January. The final value of the net assets was most often determined using the asset-based approach and in most cases, the final value was not adjusted for deferred tax or the cost of the share. In reporting the revaluation the successor companies preferred to take the items at their book values.
