Legal Status of Minority Shareholders
Abstract:
Tato práce se zabývá ochranou menšinových akcionářů v České republice. Analyzuje jejich postavení při aplikaci institutů, u kterých zákon předpokládá zásah do jejich práva a zkoumá, zda jsou tyto zásahy vyváženy dostatečně garantovanými kompenzacemi. Věnuje se jak postupům upraveným v obchodním zákoníku, tak těm, které byly dekodifikací přesunuty do samostatných předpisů.
Abstract:
The topic of this thesis is protection of minority shareholders in the Czech Republic. It explores their legal status during aplication of means, which impact their rights and examines if this impacts are counterbalanced, with compensation. The main documents of intrest are commercial code, act of takeover offer and act of merges.
