Abstract:

Tématem této bakalářské práce je problematika uzavírání kupní smlouvy a smlouvy o dílo dle Nového občanského zákoníku. Práce je zaměřena na rozbor a porovnání těchto základních obchodních závazkových smluv. V teoretické části práce bude proveden rozbor jednotlivých právních ustanovení Nového občanského zákoníku, která definují kupní smlouvu a smlouvu o dílo. Dále budou vysvětlena jednotlivá smluvní ujednání jako například předmět díla či koupě, jeho cena, termín realizace, práva a povinnosti smluvních stran, vady a nedodělky díla, smluvní pokuty, předání a převzetí, záruční podmínky a další ustanovení. V aplikační části práce bude provedena analýza dvou konkrétních smluv o dílo, které používají dvě různé společnosti. Budou vysvětleny jednotlivé náležitosti smluv, práva a povinnosti smluvních stran a ostatní ujednání. Práce bude obsahovat také porovnání těchto dvou smluv s vymezením vzájemných rozdílů. V závěru práce provedu analýzu smluvních nedostatků a vad, vymezím a definuji nejčastější chyby při uzavírání smluv a dále navrhnu doporučení pro zlepšení uzavírání smluv v podnikatelské praxi včetně návrhu smlouvy.

Abstract:

The theme of this bachelor’s thesis is the issue of concluding a purchase contract and a contract for work according to the New Civil Code. The thesis is focused on the analysis and comparison of these basic business contracts. In the theoretical part there will be carried out an analysis of particular legal provisions of the New Civil Code related to this topic, which define purchase contract and contract for work. Then there will be explained particular contractual arrangements such as the subject of work or purchase, its cost, the date of its implementation, rights and obligations of contracting parties, defects and backlogs of work, sanctions, handover and acceptance, warranty terms and other provisions. In the practical part there will be carried out an analysis of two concrete contracts for work used by two different companies. Particular requirements of contracts, rights and obligations of contracting parties and other provisions will be explained. The analysis will also include the comparison of these two analysed contracts. In conclusion, I will carry out the analysis of contractual shortcomings and defects, I will reproach and define common mistakes made while concluding contracts and then I will suggest recommendations to improve concluding contracts in business practice.
