Contractual Penalty from the View of the Practice

Abstract:

Nový občanský zákoník přijatý v roce 2012 zákonem č.89/2012 Sb. v rámci závazkového práva řadí možnost ujednání smluvní pokuty mezi utvrzení dluhu. Smluvní pokuta utvrzuje zájem smluvních stran na splnění závazku řádně a včas a stanovuje pravidla při nedodržení takového závazku. Tato bakalářské práce se zaměřuje na institut smluvní pokuty především z pohledu praktického uplatnění v podnikatelské sféře a tedy logicky de lege lata. Přesto si tento institut pro jeho zajímavost a výjimečnost zasluhuje alespoň krátké ohlédnutí do jeho historie. Součástí práce je také stanovení jeho místa v rámci soukromého práva, zamyšlení nad jeho funkcemi a povahou, stanovení obsahových a formálních náležitostí a možností soudní moderace, spolu s analýzou vlivu změny a zániku závazků na smluvní pokutu. V závěru práce jsou zachyceny z pohledu podnikatelské praxe možnosti uplatnění a největší úskalí současného právního předpisu včetně úvah de lege ferenda.

Abstract:

The new Civil Code adopted in 2012 through Law No. 89/2012 Coll. under contract law ranks the possibility of negotiating contractual penalty between the affirmation of debt. Contractual fine confirms the interest of the Parties to fulfill the obligation to properly and timely, and establishes rules for breach of such obligation. This thesis focuses on the institute of contractual penalties especially in terms of practical application in the business sector and logically de lege lata. Yet this institute for this interest and uniqueness deserves at least a brief look back into its history. The work also includes determining the locations under civil law, a reflection of its features and character, determination of content and formal requirements and the possibility of judicial moderation, along with an analysis of the impact of changes and extinguishment of debt for contractual penalties. In conclusion are presented in terms of business practices and possibilities of the biggest pitfalls of the current legislation, including consideration de lege ferenda.
