Trade secrets and obligation of secrecy in business law

Abstract:

The present bachelor thesis deals with the important aspects of the commercial law, specifically the trade secret and duty of confidentiality in commercial law. The thesis consists of three separate chapters. The first chapter clarifies the meaning of the abstract terms secrecy and confidentiality from a generalised point of view. It provides an insight into the particular types of trade secrets encompassed in the Legal Order of the Slovak Republic. It is also elaborated upon the duty of confidentiality in the legal system of the Slovak Republic. Second chapter is focused on the principle of trade secret as such as well as other duties of confidentiality according to the Commercial code. Moreover, analysing the trade secret from different perspectives with an emphasis on the legal aspect of this particular phenomenon. The current thesis also discusses the facts that contribute towards the constitution of unfair competition and examines the possibilities of protection against the infringement and misuse of the trade secret. The final chapter goes into the specific types of trade secrets related to entrepreneurship, such as bank, tax and business secrecy. In addition, this part of the thesis evaluates the legal definition of the term entrepreneur. This thesis provides an all-round explication not only of the trade secret but also its attendant forms of secrecy.

Abstract:

Predložená bakalárska práca prezentuje dôležité inštitúty obchodného práva, ktorými sú obchodné tajomstvo a povinnosť mlčanlivosti v obchodnom práve. Práca je tvorená z troch samostatných kapitol. Prvá časť tejto práce objasňuje abstraktný pojem tajomstvo a mlčanlivosť zo všeobecného hľadiska. Poskytnutý je aj prienik jednotlivými druhmi tajomstiev, ktoré sú obsiahnuté v našom právnom poriadku. Podrobnejšie je tiež rozvinutá povinnosť mlčanlivosti v právnej úprave SR. Druhá časť je zameraná na samotný inštitút obchodného tajomstva ako aj iných povinností mlčanlivosti podľa Obchodného zákonníka. Obchodné tajomstvo je rozobraté z viacerých možných hľadísk s dôrazom prislúchajúcim právnemu vymedzeniu podstaty daného fenoménu. Práca tiež pojednáva o skutkovej podstate nekalej súťaže a rozoberá možnú ochranu proti porušeniu alebo zneužitiu obchodného tajomstva. V záverečnej časti sú podrobnejšie definované konkrétne druhy tajomstiev vzťahujúce sa na podnikateľov, ktorými sú bankové tajomstvo, daňové tajomstvo a podnikateľské tajomstvo. V tejto časti nie je obídené ani zákonné vymedzenie pojmu podnikateľ. Práca je všestranná a nepojednáva len o obchodnom tajomstve, ale aj o jemu príbuzných ďalších tajomstvách.
