Analysis of the process and the impact of the acquisition / merger

Abstract:

The goal of this diploma thesis is to analyze the process and the impacts of the company's acquisition in the field of real estate development. The first part is devoted to the description of the theoretical background and overview of the current knowledge on the given issue. It contains the characteristics of the basic concepts of M&A, their classification, the identification of the motives of companies to transactions and, last but not least, the description of the acquisition process. The second part focuses on the description and analysis of the specific acquisition of the company HB Reavis, that acquired the company 33 Central. In this part of the thesis there is a detailed description of the acquisition process and the impacts of the acquisition on the parent company. The last part of the thesis deals with the summary of the findings and suggestions for possible solutions to the identified problems.

Abstract:

Predmetom tejto diplomovej práce je analýza procesu a dopadov akvizície podniku v oblasti developmentu. Prvá časť sa venuje popisu teoretických východísk a prehľadu doterajších poznatkov o danej problematike. Obsahuje charakteristiku základných pojmov z oblasti fúzií a akvizícií, ich klasifikáciu, následne identifikáciu motívov pre pristúpenie podnikov k transakciám a v neposlednom rade obsahuje popis priebehu akvizičného procesu. Druhá časť je zameraná na popis a analýzu konkrétnej akvizície podniku HB Reavis, súčasťou ktorého sa po transakcii stal podnik 33 Central. V tejto časti práce je detailne popísaný akvizičný proces a analyzované sú dopady akvizície na materský podnik. Posledná časť práce sa venuje zhrnutiu zistení a návrhom možných riešení zistených problémov.
