The Relevance of Equity for the Report on Relations

Abstract:

Cílem diplomové práce je zjistit, jaký význam má pro zprávu o vztazích vlastní kapitál. Povinnost vypracovat zprávu o vztazích mezi ovládající osobou a osobou ovládanou a mezi ovládanou osobou a osobami ovládanými stejnou ovládající osobou zákon ukládá statutárnímu orgánu ovládané osoby. Novelizace zákona o obchodních korporacích účinná od 1. 1. 2021 v ustanovení § 82 odst. 2 písm. d) upřesňuje povinnost v obsahu zprávy o vztazích uvést „přehled jednání učiněných v posledním účetním období, která byla učiněna na popud nebo v zájmu ovládající osoby nebo jí ovládaných osob, pokud se takovéto jednání týkalo majetku, který přesahuje 10 % vlastního kapitálu ovládané osoby zjištěného podle účetní závěrky za účetní období bezprostředně předcházející účetnímu období, za něž se zpracovává zpráva o vztazích.“ Jedná se o jednu z obsahových náležitostí zprávy o vztazích uvedených v § 82 odst. 2 písm. a) – e) ZOK. Práce si klade za cíl zodpovědět otázku, zda povinnost ve zprávě o vztazích uvést přehled jednání, které přesahuje 10 % vlastního kapitálu, naplňuje účel zprávy o vztazích, a tedy jakou má vlastní kapitál pro zprávu o vztazích vypovídající hodnotu.

Abstract:

The aim of the thesis is to determine the importance of equity for the relationship report. The obligation to compile a report on relations between the controlling person and the controlled person and between the controlled person and persons controlled by the same controlling person is imposed by law on the statutory body of the controlled person. The amendment to the Commercial Corporations Act effective from 1 January 2021 in § 82 (2) (d) specifies the obligation to include in the content of the relationship report "a summary of actions taken in the last accounting period which were taken at the instigation or in the interest of the controlling person or persons controlled by it, if such actions concerned assets exceeding 10 % of the equity of the controlled person as determined according to the financial statements for the accounting period immediately preceding the accounting period for which the relationship report is prepared."This is one of the contents of the relationship report referred to in §§ 82(2)(a)-(e) BCA. The thesis seeks to answer the question of whether the obligation to list in the Relationship Report a list of actions that exceed 10% of equity fulfils the purpose of the relationship report, and thus what is the explanatory value of equity for the relationship report.
