Extension of arbitration agreement over non-signatories

Abstract:

Arbitration is optional dispute resolution mechanism. Arbitration agreement, by which parties trigger such an option, documents the execution of this option and is traditionally deemed to be arbitration’s conditio sine qua non. Notwithstanding legal characterisation of the arbitration and of arbitration agreement itself, it is universally recognised that arbitration is a creature of the contract. Arbitrators must therefore, in analysing own jurisdiction to rule over parties, establish that such an essential feature exists. However, the answer to this simple question may prove to be more complex. Liberal approach to formal requirements as well as increased complexity of contemporary international commercial contracts go hand in hand and present new challenges to these old questions. The practice of modern arbitration employs several doctrines which to deal with the situation. These are partially based on traditional, contractual concepts, but often times they cross consensual limitation and stress what may be call postmodernist, jurisdictional feature of the arbitration. The thesis analyses four of these concepts: assignment, equitable and intertwined estoppel, piercing of the corporate veil, and the group of companies. The analysis is based on the court case law from Germany, France, Switzerland, the United Kingdom and the United States.

Abstract:

Arbitráž je až založená na dobrovoľnosti. Existencia rozhodcovskej zmluvy, ktorá dokumentuje uvedené rozhodnutie strán, sa tradične považuje za conditio sine qua non rozhodcovského konania. Bez ohľadu na vybranú teoretickú koncepciu arbitráže a rozhodcovskej zmluvy existuje široká zhoda na skutočnosti podávanej formou okrídlenej fráze: „Arbitration is a creature of the contract“. Z uvedeného vyplýva, že rozhodcovia musia pri skúmaní svojej právomoci primárne zistiť, či tento základný výstavbový prvok skutočne existuje. Odpoveď nemusí byť z pohľadu tejto práce jednoduchá. Liberálny prístup k formálnym požiadavkám a zvýšená komplexnosť medzinárodných obchodných vzťahov kladie s klasickými otázkami nové výzvy. Prax medzinárodnej arbitráže pre tieto skutkové situácie ponúka rozličné riešenia, založené čiastočne na klasických zmluvných inštitútoch, čiastočne na postmodernom chápaní arbitráže, ktoré akcentuje jej jurisdikčnú funkciu. Predkladaná práca sa zameriava na inštitúty postúpenia, spravodlivú prekážku, prekážku prepojených nárokov, nadvihnutia korporátneho závoja a group of companies. Práca analyzuje ich využitie pri identifikácií strán rozhodcovskej zmluvy, resp. pri rozšírení jej subjektívneho rozsahu. Prieskum bude zameraný na rozhodovaciu prax národných súdov vo Francúzsku, Nemecku, Švajčiarsku, Spojených štátoch amerických a Veľkej Británii.
