Abstract:

Cílem této diplomové práce je vytvoření komplexního popisu postavení, práv a povinností orgánů společnosti v rámci probíhající reorganizace. Jde hlavně o přiblížení tohoto tématu podnikatelům bez právního vzdělání. A o možné využití této práce jako návodu či pomůcky při řešení, zda a jak využít reorganizace při sanaci podniku. Zlepšení představy o tom, co čeká každý statutární orgán, jaké jsou jeho povinnosti a práva a jak reagovat na změny, které reorganizace a její průběh přinášejí. Pro naplnění cíle autor čtenářům přibližuje problematiku Insolvenčního zákona a charakteristika pojmu reorganizace. Objasňuje subjekty insolvenčního řízení, i postupy, které jsou v rámci reorganizace nutné. Část práce je zaměřena na vysvětlení a lepší uchopení procesu reorganizace z pohledu orgánů společnosti. Řeší se zde, jak mají orgány fungovat v rámci dohledu insolvenčního správce a věřitelského výboru. Také je autorem přesně a věcně popsáno, co čeká každý statutární orgán, jaké jsou jeho povinnosti a práva a jak reagovat na změny, které reorganizace a její průběh přinášejí. Autorovy zkušenosti vycházejí z jeho působení ve společnosti SAVAS spol. s. r. o. Tato společnost je nyní v reorganizaci a autor této diplomové práce je jednatelem této společnosti.

Abstract:

The aim of this thesis is to create a comprehensive description of the position, rights and obligations of the company's bodies in the ongoing reorganization. It is mainly about bringing this topic closer to entrepreneurs without legal education. And about the possible use of this work as a guide or tool in solving whether and how to use the reorganization in the rehabilitation of the company. Improving the idea of ​​what awaits each statutory body, what are its responsibilities and rights and how to respond to the changes that reorganization and its course bring. To fulfill the goal, the author introduces the readers to the issue of the Insolvency Act and the characteristics of the concept of reorganization. It clarifies the subjects of insolvency proceedings, as well as the procedures that are necessary within the reorganization. Part of the work is focused on explaining and better understanding the process of reorganization from the perspective of society. It addresses how the authorities should function under the supervision of the insolvency administrator and the creditors' committee. The author also describes exactly and factually what each statutory body expects, what are its duties and rights and how to respond to the changes that the reorganization and its course bring. The author's experience is based on his work at SAVAS spol. s. r. o. This company is now in reorganization and the author of this diploma thesis is the executive of this company.
