The Merger Analysis of Selected Joint-stock Companies from Accounting and Tax Point of View

Abstract:

Bakalářská práce se zaměřuje na analýzu fúze sloučením dvou akciových společností, jejích účetních a daňových dopadů v České republice. Práce je členěna na dvě části, první je teoretická část, která vychází především z české literatury a legislativy. Vymezuje legislativní úpravu této problematiky, rozlišuje přeměny korporací a fúzi rozděluje na fázi přípravnou, realizační a fázi po zápisu do obchodního rejstříku. Druhá část, praktická, se věnuje aplikaci poznatků na dvě vybrané akciové společnosti. Poskytuje bližší informace o těchto společnostech, stanovuje harmonogram, projekt fúze a dopady fúze. Závěr práce shrnuje klady a zápory plánované fúze.

Abstract:

Bachelor's thesis focuses on the analysis of merger by two joint-stock companies and its accounting and tax impacts in the Czech Republic. The thesis is divided into two parts, the first part is theoretical, which is mainly based on Czech literature and laws. It defines the legislative regulation of this issue, distinguishes transformation of corporations and divides merger to phase preparatory, implementation phase and phase after registration in the Companies Register. The second part is practical, it focuses on the application of knowledge on two chosen joint-stock companies. It provides further information about these companies, sets out a schedule, Project of Merger and impacts of the merger. The conclusion of the thesis summarizes pros and cons of the planned merger.
