Cílem této bakalářské práce je popsat postavení členů představenstva akciové společnosti podle zákona o obchodních korporacích. Po vymezení rozdílů mezi dualistickým a monistickým modelem, který je nově zaveden, se práce věnuje vzniku a zániku funkce, diskvalifikaci a úpravě smlouvy o výkonu funkce.
