Subsidiary agreements related to the contract of sale

Abstract:

The aim of this work is to clear up the position and functions of the subsidiary agreements related to the contract of sale, one of the most popular law documents often used in business practice. The work consists of two parts. The first, theoretical part, contains two chapters focused on clearing up the history of the contract of sale and its importance as a part of Civil and Bussines Code. The second, the practical part, contains a comparison of the subsidiary agreements in the Slovak and the newly created Czech Civil Code. It tries to find main differences, between both laws and compare them. Our choice of Czech version of the Civil Code for comparison comes from our common history. The second half of the practical part analyses the cases from law practice where the subsidiary agreements are used. For the analysis the adjudications published on the internet are used, the right of refusal, the right of repurchase and retention of title.

Abstract:

Cieľom bakalárskej práce je objasniť pozíciu a funkcie vedľajších dojednaní pri kúpnej zmluve, ktorá patrí k najbežnejším právnym dokumentom, s ktorými sa v praxi stretávame. Práca sa skladá z dvoch častí. Prvá, teoretická časť sa skladá z dvoch kapitol, ktoré sa zameriavajú na objasnenie histórie kúpnej zmluvy, jej významu ako súčasti Občianskeho a Obchodného zákonníka. Druhá, praktická časť obsahuje porovnanie vedľajších dojednaní v slovenskom a novovytvorenom českom Občianskom zákonníku. Pokúsi sa nájsť hlavné rozdiely, ktoré oba zákonníky obsahujú a porovnať ich medzi sebou. Výber českej verzie Občianskeho zákonníka súvisí s našou spoločnou históriou. Druhá polovica praktickej časti analyzuje praktické prípady použitia vedľajších dojednaní pri kúpnej zmluve. Pre analýzu používa súdne rozhodnutia z konkrétnych prípadov, ktoré sú zverejnené na internete. Výber padol na predkupné právo, právo spätnej kúpy a výhradu vlastníctva.
