Mergers of the companies in term of taxes

Abstract:

Tato práce se zaměřuje na popis a analýzu daňových dopadů fúze obchodních společností, přičemž se v práci řeší i některé související účetní a jiné dopady fúze. Hlavním cílem práce je v teoretické části podat ucelený pohled na tuto problematiku. V praktické části se práce zaměřuje na analýzu a návrh projektu fúze sloučením dvou skutečných anonymních obchodních společností. Hlavní hypotézou v daňové oblasti je tvrzení, že příčiny a související okolnosti fúze mají vliv i do daňové oblasti v nástupnické společnosti a že i časové hledisko fúze je jedním z důležitých aspektů, na které je potřeba brát zřetel. Zvolený problém byl řešen metodou deskripce vycházející z posouzení výchozího stavu pro fúzi a dále metodou analýzy a syntézy, kde se práce zaměřuje na jednotlivé daňové a účetní dopady. Hlavním zjištěním práce je skutečnost, že daňové dopady fúze mohou být velmi ovlivněny zvolenými parametry fúze. Na základě zjištěných skutečností lze konstatovat, že daňové a účetní dopady fúze lze do značné míry optimalizovat ve prospěch nástupnické společnosti.

Abstract:

This thesis focuses on the description and analysis of the tax implications of the merger of companies and it addresses also some related accounting and other implications of the merger. The main objective of the theoretical part of the thesis is to give a comprehensive overview of this complex issue. The practical part focuses on the analysis and proposal of the merger project of two real anonymous companies. The basic hypothesis in the tax area is the statement that the causes and circumstances connected with the merger have also an impact in the area of taxation in the successor company and that timing of merger is an important aspect that needs to be taken into the consideration. The problem was solved by using a description based on the assessment of the baseline for the merger and by using a method of analysis and synthesis, which focuses on the individual tax and accounting consequences. The main finding is that the tax implications of the merger may be heavily influenced by the selected parameters of merger. Based on my findings, it is stated that tax and accounting implications of the merger can be optimized in favour of the acquiring company.
