The duty to pay and the employment of some instruments of the payment in international trade

Abstract:

Název této práce je "Povinnost platit a využití platebních prostředků v mezinárodních obchodě", tudíž hlavní pozornost je zaměřena na platební podmínku a jednotlivé druhy platebních instrumentů. V prvé části této práce se zabýváme právní úpravou kupní ceny v mezinárodním prostředí, která je upravena v Úmluvě OSN o smlouvách o mezinárodní koupi zboží, podepsané dne 11.4.1980 ve Vídni (dále jen Úmluva). V práci je stručná charakteristika jednotlivých článků Úmluvy s důrazem na úvodní obecnou část a na část třetí upravující koupi zboží, povinnosti prodávajícího a kupujícího. V této části je proveden rozbor norem, které upravují právní vztahy (kolizní a přímé normy) včetně upozornění na tzv. hraniční určovatel a možnost stran zvolit si právo - tzv. volba práva. Tato část je uzavřena stručným přehledem nestátních prostředků právní úpravy (praktiky stran, mezinárodní obchodní zvykosti, mezinárodní obchodní termíny, mezinárodní vykládací pravidla, formulářové smlouvy, obchodní podmínky, etické kodexy). Druhá část práce se zabývá rozborem povinností kupujícího z hlediska Úmluvy, kterými jsou: zaplatit kupní cenu a převzít zboží. Práce se v této části zaměřuje na platební podmínku, respektive na vlivy, které musíme brát do úvahy při její formulaci. Platební podmínka je zde rozebrána také z hlediska jejího členění na: měnu platby, dobu platby a způsob platby. Poslední stěžejní část práce se zabývá jednotlivými platebními instrumenty: platba v hotovosti, hladký plat, dokumentární akreditiv, dokumentární inkaso.

Abstract:

The title of this BA thesis is: "Duty to Pay and the Employment of Some Instruments of Payment in International Trade" and therefore it concentrates, in particular, on the payment condition and individual types of payment instruments. The first part of the thesis deals with the legal aspects of the purchase price in the international environment which are governed by the UN Convention on Contracts for the International Sale of Goods, signed in Vienna on 11.4.1980 (hereinafter referred to as the "Convention"). The thesis briefly characterises individual aricles of the Convention with the emphasis on the introductory (general) part and the third part focusing on the sale of goods as well as the obligations of sellers and buyers. This part analyses standards regulating legal relations (collision and direct standards), but it also mentions the so-called connecting factors and the possibility of the parties to choose appropriate law - so-called lex voluntatis. It is concluded by a brief overview of non-governmental legal instruments (practices of parties, international usages of trade, international trade terms, international regulation rules, standard-form contracts, business terms and conditions, and ethical codes). In the second part of the thesis, there si an analysis of buyers obligations with respect to the Convention. These consist of the duty to pay the purchase price and to take over the goods. In this part, the thesis focuses on the payment condition, i.e. factors that have to be taken into account to define the condition. The payment condition is also analysed from the point of view ot its structuring into the payment currency, payment term and method od payment. The last crucial part of the thesis is dedicated to individual payment instruments: payment in cash, payment orders, documentary letter of credit, documentary collection.
