Comparing the principles of Corporate Governance in the developed economies and the countries of Central and Eastern Europe

Abstract:

Potřeba Corporate Governance (CG) je způsobena skutečností, že podnikání jako celek může být ohroženo konfliktem zájmů majitelů, manažerů, zaměstnanců a jiných zájmových skupin. Dynamické podnikatelské prostředí ovlivňuje růst významu CG v současné době, jelikož správné nastavení principů CG umožňuje efektivně využívat firemní potenciál a získávat konkurenční výhody. Cílem práce je prokázat, že analyzovaná společnost – bez ohledu na to, v jakém sektoru působí, bez ohledu na její velikost a bez ohledu na její vlastnickou strukturu musí fungovat na základě principů, postupů a procesů Corporate Governance (CG), aby byla úspěšná na trhu. V práci je provedená analýza odborných zdrojů s cílem nastínit problematiku ukotvení principů CG v legislativě. Na základě analýzy významných příkladů selhání principů CG (Enron, WorldCom) je zjištěna značná legislativní odezva ve mnoha zemích a je potvrzen význam zdokonalení principů CG. Ve vlastním výzkumu byly použity naopak úspěšné příklady CG v českém prostředí. Za použití ratingu „blue chips“ podle PX indexu byly vybrány nejúspěšnější a největší (z hlediska obratu) společnosti (Moneta Money Bank a Česká spořitelna). Detailní analýza současných systémů řízení a přístupu k naplnění principů CG v těchto bankách umožnila potvrdit stanovenou hypotézu práci: systém CG ve společnosti A (Moneta Money Bank) je komplexnější než systém CG ve společnosti B (Česká spořitelna). Je to dáno zejména tím, že Moneta Money Bank má vyšší transparentnost zveřejněných informací a jako první banka v ČR zveřejnila podrobnou zprávu o odměnách členů řídících orgánů. Z porovnání výsledků činností dvou bank v posledních letech lze udělat závěr, že lepší systém CG pomáhá Moneta Money Bank dosahovat lepšího růstu než ČS.

Abstract:

The need for Corporate Governance (CG) is due to the fact that the business as a whole may be threatened by a conflict of interest of owners, managers, employees and other interest groups. The dynamic business environment is influencing the growing importance of CG today, as the correct setting of CG principles allows you to effectively use the company's potential and gain competitive advantage. The aim of this work is to prove that the analyzed company - regardless of the sector in which it operates, regardless of its size and regardless of its ownership structure must operate on the principles, procedures and processes of Corporate Governance (CG) to be successful in market. The work is an analysis of professional resources in order to outline the issue of anchoring the principles of CG in legislation. Based on the analysis of significant examples of failure of CG principles (Enron, WorldCom), a significant legislative response is identified in many countries and the importance of improving CG principles is confirmed. On the contrary, successful examples of CG in the Czech environment were used in our own research. Using the “blue chips” rating according to the PX index, the most successful and largest (in terms of turnover) companies (Moneta Money Bank and Česká spořitelna) were selected. A detailed analysis of the current management systems and approach to fulfilling the principles of CG in these banks made it possible to confirm the established hypothesis of work: the CG system in company A (Moneta Money Bank) is more complex than the CG system in company B (Česká spořitelna). This is mainly due to the fact that Moneta Money Bank has a higher transparency of published information and was the first bank in the Czech Republic to publish a detailed report on the remuneration of members of management bodies. A comparison of the results of the activities of two banks in recent years leads to the conclusion that a better CG system helps Moneta Money Bank achieve better growth than ČS.
