Purchase contract

Abstract:

Business development is unthinkable without the application of contractual relations, which give rise to trade payables. The most common type of contractual obligations, which involve the conclusion of transactions between business units, the purchase contract. The sale contract is therefore the contract gives rise to certain rights and obligations of the parties concerned. Bachelor rights are given to define the problem focuses on a broader explanation of terms related to a contract of sale used. The paper analyzes the essential elements but also by the purchase agreement. Our goal is to clearly summarize the most important aspects of the purchase agreement and give the reader a general view on the issue. Detail the obligations of the parties moving on, and also to clarify the rights and obligations in the event of damage or defects in the subject goods. Part of this work is the use of the purchase agreement in practice. The paper examines the applicability of the Commercial Code and Civil Code. Work is in terms of systematic logically divided into four following chapters, which meets the stated objective. The first chapter is dedicated to analyzing the nature of the purchase contract and related fundamental concepts. At the same time discusses the important attributes of the purchase contract, such as the formation, conduct or reasons for terminating the contract of sale. The second chapter is a clear table of the rights and obligations of the parties. In this paper we also discussed the arrangements by the purchase agreement. The third part deals with the liability for damages and defects resulting from the contracts. In the final fourth section calls for use of the purchase agreement, in practice the application of a particular type of contract.

Abstract:

Rozvoj v podnikaní je nemysliteľný bez aplikácie zmluvných vzťahov, na základe ktorých vznikajú obchodné záväzky. Najčastejším zmluvným typom týchto záväzkov, pri ktorých dochádza k uzatváraniu obchodov medzi podnikateľskými jednotkami, je kúpna zmluva. Kúpna zmluva je teda zmluvou, na základe ktorej vznikajú určité práva a povinnosti zúčastneným zmluvným stranám. Bakalárska práva sa vzhľadom na zadefinovanie problému zameriava na širšie objasnenie súvisiacich pojmov, ktoré sa pri kúpnej zmluve používajú. V práci analyzujeme podstatné, ale i vedľajšie náležitosti kúpnej zmluvy. Naším cieľom je prehľadne zosumarizovať najdôležitejšie aspekty kúpnej zmluvy a poskytnúť čitateľovi všeobecný náhľad na danú problematiku. Podrobne si prejdeme povinnosťami zmluvných strán, a taktiež si objasníme práva a povinnosti v prípade škody, vady predmetu alebo tovaru. Súčasťou práce je využitie kúpnej zmluvy v praxi. V práci poukazujeme na použiteľnosť Obchodného zákonníka a Občianskeho zákonníka. Práca je z hľadiska systematického logicky členená do štyroch na seba nadväzujúcich kapitol, ktoré napĺňajú stanovený cieľ. V prvej kapitole sa venujeme rozboru podstaty kúpnej zmluvy a základných súvisiacich pojmov. Zároveň rozoberáme dôležité atribúty kúpnej zmluvy, akými sú vznik, priebeh alebo dôvody zániku kúpnej zmluvy. Druhá kapitola je sprehľadnením práv a povinností zmluvných strán. V tejto časti práce sa rozoberáme aj vedľajšie dojednania kúpnej zmluvy. Tretia časť pojednáva o zodpovednosti za škody a vady, vyplývajúce zo zmlúv. V záverečnej štvrtej časti sa poukazujeme na využitie kúpnej zmluvy v praxi aplikáciou na konkrétnom type zmluvy.
