Abstract:

Ústředním tématem bakalářské práce je kolize obchodních podmínek v rámci české právní úpravy. V práci jsou rozebrány jednotlivé teorie řešení kolize obchodních podmínek v různých právních řádech, které se zákonodárci nabízely při úpravě této otázky při rekodifikaci soukromého práva a vliv mezinárodních unifikačních projektů a evropského práva. V centru pozornosti je doktrína knock out rule a její inkorporace do české právní úpravy po rekodifikaci soukromého práva. Práce je zaměřena na komparativní posouzení kolizních obchodních podmínek, vyvození důsledků, které mohou relevantně nastat a následné doporučení pro smluvní strany.

Abstract:

The main theme of this bachelor thesis is the battle of forms within the Czech legal framework. The thesis analyzes the particular theories of solution of the collision of business conditions under the different regulations, which were available for the regulator as the solutions of this issue during the recodification of private law, and the influence of international unification projects and The European Law. The focus is on the doctrine of knock - out rule and its incorporation into the Czech legislation after the recodification of private law. Thesis is concentrating on the comparative assessment of contradictory business conditions, consequences that may be relevant and recommendations for the contracting parties.
