Abstract:

ABSTRACT FEDOROVÁ, Lenka: Formation and incorporation of a cooperatives. (Bachelor thesis). College of Banking Prague, foreign university Banska Bystrica. Department of Economics, pricing, social sciences and law Supervisor: doc. Dr.. Juraj Špirko, PhD. Year of defense: 2013. Count 54 Final thesis is focused on learning about the problems of cooperatives as one of the businesses of commercial legal and scientific-theoretical point of view. Cooperative discussed in terms of legislation specifying the basic features and principles on which the defense team. The aim is to provide a chronological overview of the underlying concepts, analyzes and comparisons in the context of the establishment and the development team, relying on a code of commercial law. The work could be used as material for educational purposes, to cooperatives and worker ownership, or to become familiar with the little used form of business. The work is divided into three chapters. The first chapter focuses on the regulation of cooperatives under the Commercial Code, on the legally relevant characteristics, the characteristics of cooperatives as private entities in the context of the historical development of cooperatives in Slovakia and abroad. The second chapter discusses general issues related to the establishment and formation of cooperatives characterize bodies as well as withdrawal and termination of the cooperative. The third chapter is finished off with a comparison of cooperatives and companies in different sections.

Anotácia FEDOROVÁ,Lenka: Zakladanie a vznik Družstiev. (Bakalárska práca). Bankovní institut vysoká škola Praha, zahraničná vysoká škola Banská Bystrica. Katedra ekonómie, oceňovania, spoločenských vied a práva Vedúci práce: doc. JUDr. Juraj Špirko, CSc. Rok obhajoby: 2013. Počet strán 54. Záverečná práca je obsahovo zameraná na oboznámenie sa s problematikou družstva ako jedného z podnikateľských subjektov z obchodno-právneho a vedecko-teoretického hľadiska. Družstvo rozoberá z pohľadu právnej úpravy, uvedením základných znakov a princípov na ktorých je družstvo postavené. Cieľom je poskytnúť chronologický prehľad východiskových pojmov, analýz a komparácie v kontexte so založením a vznikom družstva, opierajúc sa o kódex obchodného práva . Práca by sa mohla využiť ako materiál pre študijne účely, pre družstvá a zamestnancov družstiev, alebo pre oboznámenie sa s málo využívanou formou podnikania. Práca je rozdelená do troch kapitol. Prvá kapitola je zameraná na právnu úpravu družstiev podľa Obchodného zákonníka, a to na jeho právne relevantné znaky, o charakteristike družstiev ako súkromnoprávnych subjektoch v kontexte s historickým vývojom družstiev na Slovensku i v zahraničí. Druhá kapitola pojednáva o všeobecných otázkach spojených so založením a vznikom družstva charakterizovanie orgánov, ako aj zrušenie, a zánik družstva. V kapitole je načrtnutý proces založenia od zápisu do obchodného registra až po zrušenie a zánik družstva. Tretia kapitola je zakončená komparáciou družstva a obchodných spoločností v jednotlivých subkapitolách.
