Abstract:

Cílem práce je rozbor SMLOUVY O PROVÁDĚNÍ KLINICKÉHO HODNOCENÍ a popis procesu uzavírání smluv tohoto typu. Práce řeší a navrhuje obsah jednotlivých části smlouvy, a to jak částí nezbytných a vycházejících z legislativy, tak doporučuje určité kapitoly, které je dobré zahrnout z praktických důvodů. Jednotlivé kapitoly této práce odráží kapitoly smlouvy, tak jak by měly následovat po sobě a vytváří tak přehledný návod, jak tvořit obsah smlouvy s odkazy na aplikovatelné právní normy. Tato práce se zabývá také využitím vzoru smlouvy o klinickém hodnocení, jenž vznikl na základě metodického doporučení k obsahu smlouvy o klinickém hodnocení humánních léčivých přípravků Ministerstva zdravotnictví - vzoru je věnována samostatná kapitola. V rámci všech navržených kapitol se věnuji posouzení z hlediska vyváženosti práv a povinností smluvních stran, posouzení jednotlivých části smlouvy z pohledu platných zákonů a vyhlášek ČR a EU a poukazuji na specifika v případě, že je jednou ze smluvních stran státní příspěvková organizace. V rámci práce se také pokouším odpovědět na palčivou otázku: 1) Dvojstrannost vs. trojstrannost smlouvy o KH - jsou dle zákona možné obě varianty?

Abstract:

The aim of the work is to analyse the CLINICAL TRIAL AGREEMENT and describe the process of this type contract negotiation. The thesis addresses and proposes the content of individual parts of the contract, means the necessary parts that are based on legislation, and also recommended chapters that are good to include for practical reasons. The individual chapters of this thesis reflect the chapters of the contract, as they should follow, and thus create a clear guide on how to create the content of the contract with references to applicable legal standards. This work also deals with the use of the Clinical Trial Contract Template, which was created on the basis of methodological recommendations for the content of the contract on clinical trials of medicinal products for human use of the Ministry of Health - a separate chapter is devoted to the Template. Within all proposed chapters, I assess the balance of rights and obligations of the parties, the assessment of individual parts of the contract in terms of applicable laws and regulations of the Czech Republic and the EU. I also tried to point out the specifics in case one of the contracting parties is a state contributory organization. In the work I also try to answer a burning question: 1) Bilateralism vs. tripartism of the Clinical Trial Contract - are both variants possible according to the law?
