Abstract:

Cílem diplomové práce je prokázat hypotézu, že vstup společnosti na kapitálový trh formou alternativního veřejného úpisu akcií, je více než dobrou alternativou ke klasickému vstupu společnosti formou primárního veřejného úpisu akcií. V teoretické části byly představeny základní pojmy související s problematikou fungování burzy a kapitálových trhů všeobecně. V dalších kapitolách teoretické části je zacílen na primární veřejný úpis společnosti a jeho průběh včetně post-realizační fáze. Dále je představen, veřejnosti nepříliš známý, alternativní úpis akcií, jeho princip a také jeho fáze včetně post-realizační fáze. V aplikační části práce jsou porovnávány vybrané společnosti ohodnocené na základě technické analýzy poměrovými ukazateli a metodami SWOT a SMART. Dále je paralelně srovnáváno nákladové a časové hledisko vstupu společnosti při použití IPO a APO. V závěru jsou shrnuty a vyhodnoceny oba přístupy, vyhodnoceny jejich klady a zápory pro subjekty určité velikosti dle jejich tržní kapitalizace, objemu tržeb a únosnosti nákladů vynaložených se vstupem na kapitálový trh.

Abstract:

The main goal of this thesis is to prove the hypothesis, that the alternative public offering (thereinafter APO) is more than a good alternative to the initial public offering (thereinafter IPO). In the theoretical part, it will be introduced the basic conceptions related to the stock exchanges and capital markets generally. In the next chapters of the theoretical part is focused on IPO, including its post-implementation phase. Last but not least is presented APO, which is not well known in the public, including its principles, phases and implementation phase. In the practical part of this thesis are compared certain companies (rated on the basis of technical analysis) by ratio indicators and methods of SWOT and SMART. Furthermore, are compared the cost and time aspects of IPO and APO for the companies. In the conclusion of this thesis both apporaoaches are summarized and evaluated their positives and negatives for companies of the certain market capitalization, volume revenue and costs capacity to enter the capital market.
