Liquidation of Commercial Companies and Cooperatives Legally, Accounting and Tax

Abstract:

Diplomová práce se zabývá návrhem procesu likvidace společnosti, a to včetně právních, účetních a daňových aspektů. Teoretická část byla zpracována pomocí rešerše dostupné literatury. Poznatky z teoretické části, které se týkají problematiky likvidace obchodních korporací a družstev, byly využity k zpracování praktické části. Úvod praktické části je věnován finanční analýze likvidované společnosti a také důvodům, které vedly k rozhodnutí o vstupu do likvidace včetně plánovaného rozpočtu výnosů a nákladů z průběhu celé likvidace. Hlavní díl praktické části je ovšem věnován celému procesu likvidace od prvního dne vstupu společnosti do likvidace až po samotný závěr likvidace. V diplomové práci jsou využity analytické a teoretické metody. Sběr dat probíhal na základě analýzy interních výkazů a dokladů společnosti. Hlavním cílem diplomové práce bylo vypracování celého procesu likvidace, který se týká konkrétní společnosti. Tyto informace ovšem můžou být využity i jinými společnostmi, které se do podobné situace dostanou.

Abstract:

The thesis deals with the design of the liquidation process of the company, including legal, accounting and tax aspects. The theoretical part was processed using a review of available literature. The knowledge of the theoretical part, which concern to the issue of the liquidation of business corporations and cooperatives, was used to process the practical part. The introduction of the practical part is devoted to the financial analysis of the liquidated company and also to the reasons that led to the decision to enter into liquidation, including the planned budget of proceed and costs during the entire liquidation. However, the main part of the practical part is devoted to the entire liquidation process from the first day of the company's entry into the liquidation to the conclusion of the liquidation. The thesis includes analytical and theoretical methods. The dates were collected on the basis of analysis of internal reports and documents of the company. The main aim of the thesis was preparing the whole liquidation process, which concerns a specific company. However, this information can also be used by other companies in a similar situation.
