Regulation Rome I - the Analyse of the Rules Determining the Law Applicable to Contractual Obligations

Abstract:

Práce se věnuje nařízení Řím (nařízení EU č. 593/2008 ze dne 17. června 2008) a analýze pravidel pro určení obligačního statutu v něm obsažených. Základní metodou použitou při psaní práce je metoda komparativní. Jednotlivá ustanovení nařízení Řím I jsou předmětem komparace s obdobnými ustanoveními obsaženými v Římské úmluvě, která byla jeho předchůdkyní. Dalšími použitými metodami jsou analytická, induktivní, historická, systematická, gramatická a teleologická. Hlavní část práce je věnována analýze článku 3 upravujícího pravidla pro volbu rozhodného práva stranami a omezení této volby. Dále je podrobně analyzován článek 4 upravující pravidla pro určení rozhodného práva v případě neexistence nebo neplatnosti volby práva stranami. Především jsou analyzovány jednotlivé principy jako nejužší spojení, charakteristické plnění a úniková doložka a vysvětlena posloupnost jejich použití. Pro komplexní uchopení tématu jsou do práce zahrnuty také otázky působnosti nařízení Řím I a Římské úmluvy a analýza specifických pravidel pro některé zvláštní typy smluv označované obecně jako smlouvy se slabší smluvní stranou (přepravní smlouva, spotřebitelská smlouva, individuální pracovní smlouva, pojistná smlouva). Práce vychází z hypotézy, že nařízení Řím I se v základním rozměru neliší od úpravy a trendů nastavených v Římské úmluvě.

Abstract:

The thesis deals with Regulation Rome I (Regulation of the EU n. 593/2008, from 17th June 2008) and the analysis of the rules determining the law applicable to contractual obligations. The most important method used in the thesis is comparative method. The articles and provisions of the Regulation Rome I are compared with articles and provisions of the Rome Convention. Other methods used in the thesis are: analytical, inductive, historical, systematical, grammatical and teleological. The main part of the thesis focuses on the analysis of Art. 3 which states the rules for choice of law by parties and Art. 4 which states the rules determining the law applicable to contractual obligations in case that applicable law has not been chosen by the contractual parties or their choice is invalid. The principles „closest connection“, „characteristic performance“, „except clause“ are analysed in this part of the thesis as well. For the complexity of the thesis is also analyzed the scope of the Regulation Rome I and the Rome Convention and rules determining the applicable law for special types of contracts known as contracts with „weaker contractual party“ (contracts of carriage, consumer contracts, individual employment contracts and insurance contracts). The hypothesis of the work states that trends and rules set in the Rome Convention are adopted also by the Regulation Rome I.
