Abstract:

Smluvní pokuta je jedním z nejvíce využívaných zajišťovacích institutů. Hlavní funkcí smluvní pokuty je prevence, kdy pod pohrůžkou sankcí přiměje věřitel dlužníka k tomu, aby dlužník splnil vůči věřiteli svoji smluvní povinnost řádně a včas. V této práci je zmapován historický vývoj tohoto institutu až po jeho současnost. Dále je v následující druhé kapitole smluvní pokuta komentována vzhledem k její zajišťovací povaze. Důležité bylo taktéž zmínit popis smluvní pokuty jak v režimu občanském, tak v režimu obchodním včetně stručného zachycení skutečných rozdílů mezi jednotlivými úpravami. Neméně důležitý je také následný popis na téma moderace smluvní pokuty. Závěr této práce obsahuje poměrně důležitou část spojenou s myšlenkami na téma návrh nového občanského zákoníku, to vše s krátkým exkurzem do budoucnosti.

Abstract:

A contractual penalty is one of the most used securing institutes. The main function of a contractual penalty is prevention. This prevention is used, under treat of the penalty, when is a debtor forced by a creditor to accomplish his contractual obligation on time and in a good manner. There is historical course of this institut until today described in the thesis. Further, a contractual penalty accordance to its secure disposition is commented in the second part of the thesis. It was very important to mention the characterization of a contractual penalty in both civil and commercial points of view, considering a short description of differences between mentioned codes of law. The next information about posibility to negotiate conditions of contractual penalty is also very important. The conclusion is an important part of the thesis too, which considers a motion of a new civil code. A short view into the future is included in this part.
