The European Company and tax optimalization

Abstract:

Tématem této diplomové práce je Evropská společnost a optimalizace daní. Hlavním cílem práce je zjistit, zda evropská společnost, jako právní forma podnikání v rámci Evropské unie má možnost významněji optimalizovat daně než národní akciová společnost. Teoretická část je zaměřena na obecné informace, které se týkají založení, organizační struktury, finanční struktury nebo možnosti přemístění sídla – evropské společnosti na straně jedné a akciové společnosti na straně druhé. V praktické části budou analyzovány daňové povinnosti evropské společnosti založené v České republice a akciové společnosti se sídlem ve stejné zemi, a to z pohledu optimalizace daní. Na závěr bude tato komparace vyhodnocena a bude navržena nejvhodnější právní forma k podnikání, resp. místo podnikání. Výsledky diplomové práce budou mít zejména praktický význam pro podnikání.

Abstract:

The theme of this thesis is the European Company and tax optimization. The main objective is to determine if the Socieats Europea, as a legal form of business has the opportunity to significantly optimize the taxes in the European Union then the national joint-stock company. The theoretical part is focused on general information relating to the establishment, organizational structure, financial structure or the possibility of seat transfer - European companies on the one hand, and joint-stock companies on the other. In the practical part will be analyzed tax obligation of the European company based in the Czech Republic and the joint stock company based in the same country, in terms of tax optimization. At the conclusion of this comparison will be evaluated and designed the most appropriate legal form for business, resp. place of business. The results of the thesis will have a practical importance for the business.
