Abstract:

Tato práce se nejprve pokouší vymezit pojem péče řádného hospodáře v jeho obecné rovině tak jak s ním pracuje obchodní zákoník. Historický výklad pojmu ukazuje na dlouhou tradici tohoto pojmu. Dále je rozpracována povinnost péče, kterou musí vynaložit společníci osobních společností při správě záležitostí společnosti a poté povinnost péče, kterou musí vynaložit členové orgánů kapitálových společností. V jednotlivých kapitolách je povinnost péče řádného hospodáře rozebírána jednak jako samostatně stanovená povinnost při výkonu funkce a jednak ve vztahu k jednotlivým vybraným povinnostem stanovených osobám při výkonu funkcí obchodním zákoníkem, zakladatelskými dokumenty společnosti. Pozornost je věnována charakteristice vztahu společnost a její statutární orgán, člen statutárního orgánu, a postavení těchto orgánů ve vnitřní struktuře společnosti, jelikož tato problematika úzce souvisí s povinností péče. Dále je přiblížena konkrétní podoba, kterou může porušení povinnosti péče řádného hospodáře v praxi nabývat. Je rozebrána problematika nevýhodných obchodů a jsou uvedeny příklady porušení povinnosti péče z pohledu rozhodovací praxe Nejvyššího soudu. Zařazen je i exkurz do rozhodovací praxe amerických soudů s ohledem na případnou inspirativnost doktríny business judgment rule pro domácí praxi. Na závěr jsou popsány důsledky porušení péče jako je odpovědnost za škodu, ručení a další možné důsledky.

Abstract:

This work deals with the legal duty to care (due diligence) as is stated for representatives of capital and personal companies according to Commercial Code, as amended. The third chapter gives basic definition to term. It concerns with the question of acting on behalf of company with preferring interest of company over own interest as a part of due diligence. It deals with due diligence that companions of personal companies have to exercise within performing of activities on behalf of the special limited partnership or general partnership according to the virtue of paragraph 79a of Commercial Code. The fifth chapter deals with due managerial care that the representatives of capital companies are liable to meet within execution of their powers. This chapter is divided into five subchapters which refer to the main issues as follows. The specific position of members of board of directors of joint stock company and the position of registered agents of limited company, the character of legal relationship between the company and representatives of company, the duty of company representatives to adhere to instructions and commercial principles approved by general meeting in connection with due diligence, the duty of not disclose the confidential information and facts to the third persons, the possible agreement between major shareholder and a member of board of director concerning the enforcement of interest of this shareholder on meetings of board of directors. The sixth chapter deals with breach of due diligence. The first subchapter analyzes the problem of harsh bargains. The second subchapter shows the basic elements of business judgment. In conclusion are analyzed the current judgments of Highest Court. The seventh chapter deals with the liability of the representatives of company.
