Abstract:

Tématem závěrečné práce je právní regulace prodeje a pronájmu podniku. Jedná se o složité téma, které znamená v životě podniku zásadní změnu. Proto musí být jak prodej, tak i pronájem, upraven zákony. Smlouvu o prodeji nebo pronájmu by měl vždy sepisovat právník a to i přesto, že majitel podniku je obeznámen s legislativou. Pro práci jsou stanoveny také hypotézy, které je možno potvrdit nebo vyvrátit pouze pečlivým studiem zákonů a odborné aktuální literatury. Prodej a pronájem podniku jsou podobné pojmy, v některých bodech se v podstatě shodují, není třeba je zvlášť podrobně popisovat. Podstatné je, aby bylo přesně určeno, zda je prodáván nebo pronajímán podnik celý, nebo jen určitá jeho část. Také je nutno stanovit práva a povinnosti obou stran a termíny jejich přechodu. Cena je podstatným faktorem pro prodávajícího/pronajímatele i pro kupujícího/nájemce. Oblasti jako odstoupení od smlouvy, přechod závazků, daňová problematika je nutno podrobně upravit ve smlouvě. Jiné oblasti se zase liší podle toho, o jaký podnik se jedná. Faktem je, že se jedná o složité právní téma, které vyžaduje znalost celé řady zákonů. Aby byla práce kompletní, obsahuje také příklady judikatur. Diplomová práce podobně a jasně popisuje prvky spojené s prodejem a pronájem podniku a je ucelenou příručkou, která může napomoci laikovi se v dané oblasti zorientovat.

Abstract:

The theme of my work is the legal regulation of the sale and leasing business. This is a complex issue which is crucial in the life of business change. Therefore, it must be both sale and lease, modified laws. Contract for the sale or lease should always scheduling lawyer, even though the business owner is familiar with the legislation. The work is also set hypotheses that can be confirmed or rebutted only by careful study of the laws and current professional literature. Sale and lease business concepts are similar, in some respects are essentially the same, there is no need to describe in detail separately. It is essential to accurately determine whether it is sold or leased undertaking all or just some part. It is also necessary to establish the rights and obligations of both parties and the terms of their transition. Price is a significant factor for the seller / landlord and the buyer / tenant. Areas such as withdrawal, transition obligations, tax issues must be adjusted in detail in the contract. Other areas were very different depending on what company it is. The fact is that this is a complex legal issue that requires knowledge of a number of laws. Work to complete, also includes examples of court decisions. Thesis similarly and clearly describes elements associated with the sale and rental business and is a comprehensive handbook that can help a layman in the field bearings.
