Nullity of the resolution of the general meeting of the stock corporation in the Czech Republic and in Austria, with special consideration of German law

Abstract:

Rigorózní práce podává ucelený, teoretický i praktický pohled na právní úpravu řešení neplatnosti usnesení valných hromad akciových společností, a to v České republice (Obchodní zákoník), Rakouské republice (Aktiengesetz, öAktG) a ve Spolkové republice Německo (Aktiegesetz, dAktG). Rozebírá jak hmotněprávní, tak procesněprávní aspekty problematiky. V českém prostředí se zabývá otázkou povahy usnesení valné hromady a z toho plynoucích nejasností o charakteru neplatnosti usnesení valné hromady. V rámci rozlišení vad usnesení na formální a obsahové práce názorně prezentuje dostupnou judikaturu českých soudů z této oblasti. Text, vycházející z rakouského akciového zákona, pojednává nejprve o napadnutelnosti („Anfechtbarkeit“) – i zde se setkáme s rozdělením vad usnesení na procesní a obsahové a jejich bližším popisem. Procesněprávní pasáž detailně probírá uplatnění (soudní, arbitrážní) nároků, vyplývajících z vadného usnesení. Komplexně je pojednáno o aktivně a pasivně legitimovaných osobách, o podmínkách soudního řízení (podoba návrhu/žaloby, místní a funkční příslušnost, vlastnosti soudního rozhodnutí), o náhradě škody a působnosti obchodního rejstříku. Přiblížena jsou také národní specifika České republiky (podmínky neprohlášení usnesení za neplatné, zastavení řízení) i Rakouska, resp. Německa (nutnost podání protestu na valné hromadě, zjištění hodnoty soudního sporu a složení kauce). Zvláštní pozornost je věnována německému fenoménu 80. - 90. let – šikanóznímu zneužití žalob na napadnutelnost ze strany akcionářů („rechtsmissbräuchliche Klagen“). Rigorózní práci uzavírá pojednání o nicotnosti usnesení („Nichtigkeit“), tj. o důsledku těch nejzávažnějších vad (contra bonos mores, odporující podstatě akciové společnosti, absentující notářské ověření konání valné hromady atd.) dle rakouského a německého práva. Součástí rigorózní práce je více nežli čtyřicetistránková obrazová a textová část Příloh.

Abstract:

The thesis deals with both theoretic and practical view into legal frame solving nullity of the resolution of the general meeting of the stock corporation, namely in the Czech Republic (Commercial Code), Austria (Aktiengesetz, öAktG) and Germany (Aktiengesetz, dAktG). There are overhauled substantive and procedural law aspects of the problematic. In the Czech legal background it focuses on the question of the character of the nullity of the general meeting resolution, and of this resulting dissension about character of invalidity of the resolution of general meeting. Going through the formal and the contained faults the thesis presents objective the available state of judicial decisions practice of the Czech courts in this field. The text, based on Austrian joint-stock act, examines firstly the defeasibility (“Anfechtbarkeit”) – here again we are meeting the classification of the possible faults (substantive, procedural) and their near description. Procedural passage is in detail treating the claim assertion (court, arbitral), resulting from the void resolution of the general meeting. I focused esp. on topics of right to sue and to be sued, conditions of the court proceedings (form of the complaint/lawsuit, local and functional competence, characteristics of the final judgment), damages and powers of the Commercial Register. In addition the thesis gives an overview of the national specific elements in the Czech Republic (conditions of not pronunciation of the nullity, discontinuance of proceedings) and in Austria, respectively in Germany (necessity to contest the resolution firstly by the protest, value of the dispute, bail depositing). Special attention is dedicated to the German prodigy of the 80's and 90's – abuse of lawsuits from the part of the stockholders (“rechtsmissbräuchliche Klagen”). The last chapter describes according to Austrian and German law the voidness (“Nichtigkeit”), which is an incidence of those weightiest mistakes (violation of good morals or substance of the joint-stock company, absenting notarial deed etc.). The component of the thesis is also pictorial and text supplement with more than forty pages.
