Abstract:

Abstrakt Tato bakalářská práce se zabývá tématem Dluhopisy, přesněji emisí podnikových dluhopisů. Pracuji ve firmě MERO ČR, a. s. (mezinárodní ropovody Ingolstadt a Družba), která jeden ze svých náročných projektů (ropovod MERO IKL) zčásti financovala právě emisí podnikových dluhopisů. Ve své práci Vás seznámím s teorií, která se týká dluhopisů, jejich druhů a členění. Seznámíme se s zdroji financování firem, faktory ovlivňující rozhodování manažerů při volbě způsobu financování projektu. Povíme si, jaké podmínky musí dle zákona emitent splňovat, zvolí-li si jako zdroj financování emisi podnikových dluhopisů. V další části se seznámíme s projektem MERO IKL a jeho financováním. S jakými finančními ústavy probíhala jednání o možnostech financování. Jaká kritéria rozhodla o financování ropovodu emisí obligací. Proč se společnost rozhodla emitovat emisi prostřednictvím administrátora. Jaké požadavky a povinnosti MERO ČR, a. s., musí jako emitent splňovat. Závěrem vyhodnotíme, zda volba financování projektu, byla optimálním řešením a jak splácení emise probíhá dnes.

Abstract:

Abstract This bachelor thesis concerns the topic of bonds, more precisely – emission of company’s bonds. I work in the company MERO ČR, a. s. (international pipelines – Ingolstadt and Družba) with one of demanding projects (the pipeline MERO IKL) partially financed just by the company’s bonds emission. You are becoming acquainted with theory appertain to bonds, their sorts and subdivision in my thesis. You are going to find out the sources of companies’ financing, factors influencing the managers’ decision-making while choosing the way of project’s financing. I am going to tell you the conditions issuer must fulfil according to the law if he opts for emission of company’s bonds as a source of financing. In the next part you are going to find out about the MERO IKL project and its financing, what finance houses were interested on possibilities of financing during the negotiations, what criterions determined the financing of the pipeline by the emission of bonds and why the company decided to issue the emission by means of administrator. You also find out what requirements and duties must be fulfilled by the company MERO ČR, a. s. as the issuer. At the conclusion we are going to finalize whether selection of project’s financing was optimal solution and what is the present phase of bond redemption.
