Abstract:

Právo squeeze-out je obecně považováno za standardní prostředek dosažení absolutní kontroly v akciové společnosti ze strany dominantního akcionáře. Z pohledu menšinových akcionářů se však současně jedná o nástroj, jehož užití způsobuje intenzivní zásah do jejich vlastnických práv. Výkon práva squeeze-out je proto limitován striktně nastavenými podmínkami, které mají garantovat, že práva vytěsňovaných menšinových akcionářů nebudou nepřiměřeně dotčena. Ambivalentní charakter práva squeeze-out je východiskem předkládané disertační práce. Právo squeeze-out je nejprve prezentováno jako nástroj řešení konfliktů mezi akcionáři, jehož užití může být ve svém důsledku přínosem pro obě skupiny akcionářů. Z druhého pohledu je na právo squeeze-out v jeho normativní podobě zakotvené do českého právního řádu nahlíženo jako na zdroj výkladových a aplikačních nejasností vyskytujících se ve všech fázích realizace procedury vytěsnění. Cílem předkládané práce je v prvé řadě identifikovat teoretické a praktické problémy, jež mohou narušit řádný způsob ukončení účasti menšinových akcionářů ve společnosti. Současně jsou v práci nabídnuty vlastní návrhy stabilních a jasných východisek umožňujících realizaci práva squeeze-out v souladu s účelem právní úpravy a rovněž ve shodě se základními právními principy.

Abstract:

The squeeze-out right is widely considered to be a standard method of acquiring absolute control in a joint stock company by a dominant shareholder. On the other hand, from the perspective of the minority shareholders, it represents a very intensive impact to their property rights. The exercise of the squeeze-out right is thereby connected with restrictive conditions, in order to protect the interests of the minority owners. The ambivalent character of the squeeze-out right is the theme of the submitted dissertation. First, the squeeze-out right is presented as a dispute settlement tool and a win-win solution from the view of both groups of shareholders. From the second point of view, the current Czech legal regulation of the squeeze-out right is presented as a source of different kinds of ambiguities that occur within all evolutionary stages of the squeeze-out process. The goal of this paper is to identify the theoretical and practical problems that affect the proper procedure for forcing the minority shareholders out of the corporation. Secondly, this dissertation offers own ideas of stable and clear standards for the exercise of the squeeze-out right in compliance with the purpose of the legal regulation and in accordance with the fundamental legal principles.
