Piercing the Corporate Veil under the Czech Law

Abstract:

Diplomová práce se zabývá doktrínou piercing the corporate veil a především možnostmi její aplikace v českém právním prostředí s důrazem na rekodifikaci. V první části práce autorka doktrínu vymezuje v teoretické rovině, zejména definuje obsah doktríny a zkoumá její aplikaci na již provedených empirických studiích. Ve druhé části práce autorka analyzuje jednotlivá ustanovení českého práva, o nichž se domnívá, že by mohla být k aplikaci průniku vhodná. V kontextu průniku tak hodnotí možnosti jejich aplikace a upozorňuje na jejich limity.

Abstract:

The thesis deals with the doctrine of piercing the corporate veil, especially the possibility of its application in the Czech legal environment, with an emphasis on recodification. In the first part, the author defines the theorethical background of the doctrine, defines the content and examines application of the doctrine on empirical studies already published. In the second part, the author analyses the various rules of the Czech law, which could be suitable for the doctrine application. Therefore, the author evaluates the possibility of their application and also draws attention to their limits.
