Legal Status of the Officers of the General Meeting

Abstract:

Diplomová práce se bude zabývat problematikou právního postavení funkcionářů valné hromady a členské schůze dle aktuální právní úpravy v České republice. Zabývat se bude především charakteristikou vztahu mezi funkcionářem a společností či družstvem. V této práci rozeberu předpoklady pro volbu konkrétní osoby do funkce, vznik a zánik funkce, standard péče a odpovědnost funkcionářů a jejich konkrétní práva a povinnosti. Cílem práce je podat komplexní výklad právní úpravy ke zvolené problematice, stanovit právní postavení funkcionářů, určit aplikovatelnou právní úpravu a případně navrhnout řešení tam, kde právní úprava optimální řešení neposkytuje a je tak vhodné dané otázky konkrétně upravit ve vnitřním předpisu obchodní korporace či prostřednictvím konkrétní smlouvy.

Abstract:

This thesis will address the issue of the legal status of officers of general meetings and membership meetings under current legislation in the Czech Republic. It will focus primarily on the characteristics of the relationship between an officer and a company or cooperative. In this thesis, I will analyze the prerequisites for the election of a specific person to a position, the creation and termination of a position, the standard of care and responsibility of officials, and their specific rights and obligations. The aim of the thesis is to provide a comprehensive interpretation of the legal regulations on the selected issue, to determine the legal status of officials, to identify the applicable legal regulations, and, where appropriate, to propose solutions where the legal regulations do not provide an optimal solution and it is therefore appropriate to specifically regulate the issues in question in the internal regulations of a commercial corporation or through a specific contract.
