Selected Aspects of the Proxy Structure According to the New Civil Code
Abstract:
Nový občanský zákoník specifikoval standard výkonu činností prokuristy tak, že mu ukládá povinnost jednat s péčí řádného hospodáře. Problematické je zejména určení jednání, která budou tímto měřítkem posuzována. Cílem práce je určit obsah prokuristova oprávnění, definovat možné právní vztahy mezi prokuristou a podnikatelem, a také vymezit odpovědnost prokuristy a její možná omezení.
Abstract:
The New Civil Code has specified the duty of care for the Proxy. The Proxy is obliged to act with the due managerial care. However, especially the scope of actions that falls within the duty is unclear. The aim of this thesis is to specify the scope of actions of the Proxy, to define possible contractual arrangements between the Proxy and the Entrepreneur.
