Securing commitments

Abstract:

My bachelor´s thesis concerns the most important securing institutes of civil and trade undertakings´relations.The first chapter of it focuses on relations within civil and trade law, explanation of obligations and establishing, change and dissolution of it. The second chapter describes extensively the four most important securing institutes such as contractual fines, collateralization, acknowledgement of liability and acknowledgement of debt. There are laid down basic terms of these institutions and their using in Civil and Trade Code. The important part of this chapter provides comparison of these securing undertakings within the aspect of civil and trade law. The end of second chapter also briefly describes another important securing institutes of civil law which do not have so constituent character. The third chapter aims to make a statement of judicative concerning the undertakings´ securing. It presents particular judicative examples of contractual fines, collateralization, acknowledgement of liability and debtacknowledgement related to praxis which gives the bachelor´s thesis additional value of real facts based on particular statements of Civil Code in connection to Trade Code.

Abstract:

Bakalárska práca sa zaoberá najdôležitejšími zabezpečovacími inštitútmi v občianskych a obchodných záväzkových vzťahoch. Prvá kapitola je zameraná na vzťah občianskeho a obchodného práva, výklad záväzkového práva, jeho vznik, zmenu a zánik. Druhá kapitola podáva čo najobšírnejšie informácie o štyroch najdôležitejších zabezpečovacích inštitútoch a to o zmluvnej pokute, ručení, uznaní záväzku a uznaní dlhu. V prvom rade je zameraná na ich hlavnú definíciu, samotné použitie v občianskom aj obchodnom práve. Dôležitú časť v tejto kapitole tvorí samotné porovnávanie týchto zabezpečovacích inštitútov z hľadiska občianskeho a obchodného práva. V závere druhej kapitoly sú opísané taktiež dosť významné zabezpečovacie inštitúty z občianskeho práva, ale sú opísané v menšom rozsahu ako spomínané štyri predošle zabezpečovacie inštitúty, ktoré tvoria jadro bakalárskej práce a venuje sa im podstatná časť z hľadiska ich dôležitosti v praxi. Tretia kapitola sa zameriava na judikatúru vo veciach zabezpečenia záväzkov. V tejto kapitole sú uvedené jednotlivé príklady judikátov na zmluvnú pokutu, ručenie, uznanie záväzku a uznanie dlhu, ktoré vychádzajú z praxe a tým obohacujú bakalársku prácu o reálne fakty, ktoré sa opierajú a vychádzajú z jednotlivých ustanovení Občianskeho zákonníka v nadväznosti na Obchodný zákonník.
