Compulsory Take-Over Bid

Abstract:

Diplomová práce se zabývá institutem povinných nabídek převzetí. Snaží se přehledně uspořádat celou problematiku, vymezit základní styčné body úpravy a upozornit na její případné nedostatky. Práce z hlediska uspořádání začíná stručným nástinem ekonomických aspektů povinné nabídky převzetí, včetně jejich odrazu v základních zásadách, a historického vývoje české právní úpravy. Stěžejní část pak představují následující kapitoly, které čtenáře seznamují s Třináctou směrnicí a platnou právní úpravou, jejíž výklad je rozčleněn tak, aby podával ucelenou představu o okolnostech, za kterých povinnost učinit nabídku převzetí vzniká, subjektech, kterých se týká, včetně jejich rolí v celém procesu, a sankcích, jež se aplikují při porušení příslušných ustanovení. Zvláštní důraz je kladen na způsob stanovení ceny odkupu v nabídce převzetí, neboť z hlediska účelu a cíle úpravy je tato otázka zásadní. Závěrem práce shrnuje vybranou českou judikaturu a pro dokreslení představy letmo zachycuje úpravu nabídek převzetí ve Velké Británii, USA a Německu. Práce byla zpracována s použitím příslušných českých a zahraničních právních předpisů, literatury a judikátů. Zvláštní pozornost byla věnována i rozhodnutím a nezávazným stanoviskům Komise pro cenné papíry z důvodu jejich velké odborné autority.

Abstract:

The thesis deals with the questions of the legal regulation of mandatory takeover bids. The purpose of this text is to show basic points of contact of the mandatory takeover bid and to draw an attention to certain problems and shortcomings, from which it suffers. In the beginning the thesis introduces the whole theme by defining and describing basic economic aspects, which determine the realization of the takeover bid and which are also the main motive for certain grade of its legal regulation. The introduction is concluded with a short illustration of historical circumstances of this quite young juridical institute. The chapter 4 devotes to the Directive 2004/25/EC of the European Parliament and of the Council of 21 April 2004 on takeover bids, whose suggestion was the main inspiration and source of the Czech legal regulation. The fundamental part of the thesis gives a detailed characterization of the Czech legal regulation of mandatory takeover bids. It tries to enable the reader to gain a consistent idea about the whole process and all circumstances connected with it. As to the importance of decisions of the czech courts the thesis contains some significant ones. For a better idea a comparative part is included in the end of the thesis. The reader of this text is informed on all relevant sources related to this theme, i.e. legislation and other legal documents, literature and court and Czech Securities Commission decisions and opinions.
