On Mergers and Acquisitions and Their Impact on the Current Developments on the National and International Financial Markets

Abstract:

V dnešní době investiční společnosti nadnárodních korporací zabezpečují dodatečný příliv zahraničního kapitálu do národních ekonomik. V poslední době nadnárodní strategie velkých korporaci je většinou zaměřená na globální procesy a přímé zahraniční investice se stávají její nedílnou součástí. Navíc, za použití nových technologii, společností upevňují své strategické možností pro posílení svých pozic na zahraničních trzích, a na finančním trhu pomocí zvýšení efektivností a výnosností svých kapitálových investic. Jednou ze základních strategií nadnárodních korporací je strategie fúze a akvizic. Cílem této práce je popsat a analyzovat jev fúzí a akvizic, zhodnotit jeho vliv na vývoj národních i mezinárodních finančních trhů. V práci jsou uvedené nejdůležitější definice, typické definiční rozdělení fúzí a akvizic, hlavní trendy ve vývoji tohoto jevu během 20. a na začátku nynějšího století. Jednotlivé kapitoly analyzují vývoj trhů M&A podle zemí a regionu, a v poslední kapitole je věnovaná zvláštní pozornost budoucímu vývoji finančních trhů a trhu M&A jak v globálním měřítku tak v regionu Střední a Východní Evropy

Abstract:

Nowadays the TNCs’ investment departments insure the sufficient inflow of foreign capital into the national economies. Therefore the supranational strategies focus on the global processes with FDI becoming their integral part. By implying new technologies, other recourses are used more efficiently and thus TNCs strengthen their positions on the foreign markets. On the financial side, TNCs increase efficiency and profitability of their capital investments. Probably one of the most frequent TNCs’ strategies is Mergers and Acquisitions. The goal of this thesis is to describe and analyze the phenomenon of M&A and judge upon its influence on the development of national and supranational financial markets. The work includes the most important definitions, typical M&A definitional split and major trends of historical development of M&A phenomenon during XX and XXI centuries. Particular chapters focus on analysis of trends in M&A development according to countries and regions, while the last chapter pays attention to the future developments on the financial and M&A markets in both global and CEE perspectives.
