Abstract:

This bachelor work is aimed on comparison of the public company and limited partnership. The objective of the fist chapter is diversification of the single-person business associations and characteristics of the public company and limited partnerships. In the second part, I focused on ways of creation of essential asset and investments of partakers. I compared the legal status of the partakers and their involvement in the association. The other chapters are aimed on partakers´ rights and duties in the public company and rights and duties of limited partners and special partners in the limited partnership. The last chapter is focused on the comparison of the components of both of the associations.

Abstract:

Bakalárska práca je zameraná na porovnanie verejnej obchodnej spoločnosti a komanditnej spoločnosti. V prvej kapitole som sa zamerala na rozdelenie osobných obchodných spoločností a charakteristiku verejnej obchodnej spoločnosti a komanditnej spoločnosti. V druhej časti som sa sústredila na spôsoby tvorby základného imania a vkladov spoločníkov. V ďalšej kapitole som porovnala právne postavenie spoločníkov a ich účasť v spoločnosti. Nasledujúce kapitoly sú zamerané na práva a povinnosti spoločníkov vo verejnej obchodnej spoločnosti a práva a povinnosti komplementárov a komanditistov v komanditnej spoločnosti. V poslednej kapitole som sa zamerala na porovnanie orgánov oboch spoločností.
