Abstract:
Práce pojednává o souběhu výkonu funkce člena představenstva se zákonným zastoupením. Poukazuje na možnost souběhu jednatelského oprávnění vyplývajícího pro určitou osobu z členství ve statutárním orgánu - představenstvu akciové společnosti s jednatelským oprávněním vedoucího zaměstnance (např. ředitele společnosti), které pro stejnou osobu vyplývá z pracovního poměru ke společnosti. Abstract:
The text disserts on concurrence of discharge of company directorship with statutory representation. Both, the director and the general manager can represent the company externally. The two types of representation of the company could assemble in the hands of one person if this person acts as the director of the company and the general manager of the company at the same time.
