Abstract:

Cílem diplomové práce je určit tržní hodnotu společnosti XY ke dni 9. 9. 2022, formou znaleckého posudku. Postupuje se dle univerzální šablony formátu (struktury) znaleckého posudku, která odpovídá nové právní úpravě účinné od 1. 1. 2021, tedy: zadání, výčet podkladů, nález, posudek, odůvodnění, závěr, znalecká doložka a přílohy. Veškeré analýzy a výpočty jsou provedeny na základě podkladů oceňovaného podniku, soudního spisu, nebo veřejně dostupných databází a odborných informačních zdrojů. Pro potvrzení pokračující hodnoty podniku tzv. going concern, byla provedena strategická a finanční analýza. V rámci strategické analýzy se uskutečnily metody: vývoj trhu, zaměřený na maloobchodní segment, SWOT analýza, PEST analýza a Porterova analýza 5 konkurenčních sil. Ve finanční analýze se provedla horizontální analýza, analyzovali se poměrové ukazatele a provedly se komplexní metody hodnocení podniku. Strategická analýza vyhodnotila vysokou konkurenci v okolí z důvodu snadného vstupu na trh, ale zároveň má podnik podmínky, aby byl ve své činnosti úspěšný. Ve finanční analýze byl podnik po většinu sledovaného období ziskový, ve dlouhodobém majetku byl vyrovnaný, výsledek hospodaření před zdaněním byl též kladný až na rok 2021, metody komplexního hodnocení podniku vyhodnotily posuzovaný podnik jako bonitní. Na základě potvrzení pokračující hodnoty bylo přistoupeno k ocenění podniku. Bylo provedeno ocenění výnosovou metodou: diskontování volných peněžních toků pro vlastníky (DCF FCFE). Hodnota ocenění majetkovou metodou – tržní byla nižší, tudíž signalizovala dobré finanční zdraví a ocenění majetku účetní hodnotou vyšlo jako nejnižší částka, což opět potvrdilo stabilní směr vývoje obchodního závodu.

Abstract:

The aim of the thesis is to determine the company XY's market value as of 9 September 2022, in the form of an expert opinion. It follows the universal template of the format (structure) of the expert opinion, which corresponds to the new legislation effective from 1 January 2021, i.e.: assignment, list of documents, finding, opinion, justification, conclusion, expert clause and annexes. All analyses and calculations are made on the basis of the valued company's documents, court files or publicly available databases and expert information sources. In order to confirm the going concern value of the business, a strategic and financial analysis was carried out. Within the strategic analysis, the following methods were carried out: market development, focusing on the retail segment, SWOT analysis, PEST analysis and Porter's analysis of 5 competitive forces. In the financial analysis, horizontal analysis was performed, ratio analysis was performed and comprehensive methods of business evaluation were performed. The strategic analysis evaluated the high competition in the environment due to the ease of entry into the market, but at the same time the company has the conditions to be successful in its operations. In the financial analysis, the enterprise was profitable for most of the period under review, it was balanced in fixed assets, the pre-tax result was also positive except for 2021, the comprehensive enterprise evaluation methods evaluated the enterprise under review as creditworthy. Based on the confirmation of the going concern value, the valuation of the business was proceeded with. A valuation was carried out using the income method: discounted free cash flow to owners (DCF FCFE). The value of the valuation using the equity method - market method was lower, therefore signalling good financial health, and the valuation of the assets at book value came out as the lowest amount, again confirming the stable direction of the business.
