Securement of Performance by Assignment of a Right

Abstract:

Tato diplomová práce se zabývá zajišťovacím převodem práva. Hlavním cílem práce bylo analyzovat tento zajišťovací institut a to zejména ve světle přelomového rozhodnutí Nejvyššího soudu sp.zn. 31 Odo 495/2006 a jeho důsledcích na institut samotný. Dílčím cílem práce bylo srovnání zajišťovacího převodu práva s propadnou zástavou, lichevní smlouvou, slovenskou úpravou tohoto institu a zvažovanou úpravou de lege ferenda. Diplomová práce je založena jednak na primárních zdrojích jako jsou soudní rozhodnutí a právní předpisy, ale také na sekundárních zdrojích jako jsou odborné knihy a články. Definice zajišťovacího převodu práva byla vtělena do ust. § 553 občanského zákoníku v roce 1991. I když česká právní věda a praxe měly určité povědomí o tomto institutu i před tím, tak nejasnost a strohost právní úpravy vedly k mnoha problémům v praxi. Zajišťovací převod práva je založen na podmíněném převodu práva z dlužníka na věřitele a jeho automatickém navrácení v případě, že dlužník splní svůj zajištěný závazek. Účelem a cílem zajišťovacího převodu práva je motivotat dlužníka ke splnění jeho povinností převedením jeho práva na věřitele. V diplomové práci bylo představeno mnoho úskalí zajišťovacího převodu práva s finálním doporučením, že pouze lepší zákonná úprava a obezřetnost smluvních stran mohou vést k řádnému a účelnému užívání tohoto institutu.

Abstract:

This diploma thesis has focused on the topic of “The securement of performance by assignment of a right.” The main aim of this diploma thesis was to analyze this security instrument in the light of breakthrough decision made by The Supreme Court of the Czech Republic number 31 Odo 495/2006 and its impact on the instrument itself. The partial aim of the thesis was to compare this security instrument with the following issues: the expired deposit, the usury, the Slovak regulation of this instrument and regulation de lege ferenda. The diploma thesis is based also on primary sources such as court decisions and laws and also on secondary sources such as articles and books. Securement of performance by assignment of a right is incorporated into the Civil code since 1991 and is situated in part of securement, section 553. Even if the Czech law science and practice had certain knowledge about it also before, the lack of the exactness of its regulation and its shortness led to many problems in practice. The securing function of this instrument consists of the fact that conditional transfer of a right from the debtor to the creditor takes place and the transferred right is given back automatically to the debtor when the debtor fulfils his secured obligation. The purpose and the aim of the securement of performance by assignment of a right is the motivation of the debtor to settle creditor’s receivables and at the same time to prevent him from any disposal of the right transferred to the creditor prior to meeting his obligations. In the diploma thesis there were many problems of the securement of performance by assignment of a right presented with the result that only better law regulation and the precaution of the contracting parties may lead to sufficient usage of this instrument.
