The position of the managing director in a limited liability company according to the legislation of the Czech Republic and Slovak Republic

Abstract:

Tato diplomová práce se zabývá českou a slovenskou právní úpravou v oblasti obchodního práva, konkrétně postavením jednatele ve společnosti s ručením omezeným. Cílem této práce bylo pomocí analýzy dané problematiky a následné syntézy informací zjištěných během zkoumání získat podklad, který by pomohl odpověď na výzkumné otázky, které jsem si položila. Mým předpokladem bylo, že i přes společný historický vývoj a téměř 20 leté členství v Evropské Unii, které s sebou nese určitou harmonizace právních předpisů, budou v právních předpisech určité odchylky způsobené převážně rekodifikací soukromého práva v České republice. Avšak v závěru práce byla tato hypotéza vyvrácena, jelikož odlišností právní úpravy v České republice je jen málo a navíc nejsou nikterak podstatné.

Abstract:

This diploma thesis deals with a Czech and Slovak business law and the current legislation of limited liability company and its managing director. The aim of this diploma thesis was to analyse both legislation regulating this topic and based on gained information find the answer on research question. I expected that differences between both legislations will be noticeable although both countries have been part of the European Union since 2004 and this means that are affected by the process of harmonization of legislation. I assumed that Czech legislation is more detailed and responds more to practical examples due to changes that was made during the recodification of private law. But my hypothesis was refuted, because there only few differences between legislations and they are not very significant.
