The comparison of sales contract by the civil and commercial code

Abstract:

The aim of the thesis was to characterize the regulation of the purchase contract based on the Commercial and Civil Code. Work is divided into three chapters. The first chapter focuses on the concept and content of the contract and thus regulation of the purchase contract from the general point of view under different laws as well as the essential elements of the purchase contract. The second chapter focuses on issues related to the rights and obligations of the buyer and the seller, determine the Parties agreed on the price of goods and legal institutions as a way, time and place of performance. The last chapter focuses on the arrangements by which buyers and sellers may agree upon. It is mainly the receipt of goods, claims for defects case, liability for breach of obligations as well as the acquisition of ownership.

Abstract:

Cieľom bakalárskej práce bolo charakterizovať právnu úpravu kúpnej zmluvy na základe Obchodného a Občianskeho zákonníka. Prácu je rozdelená do troch kapitol. V prvej kapitole sa zameriavam na pojem a obsah kúpnej zmluvy a teda právnu úpravu kúpnej zmluvy zo všeobecného pohľadu v zmysle jednotlivých právnych predpisov ako aj na základné náležitosti kúpnej zmluvy. Druhá kapitola je zameraná na problematiku týkajúcu sa práv a povinností kupujúceho ako aj predávajúceho, určenie zmluvných strán, dohodou o cene za tovar a právne inštitúty ako spôsob, čas a miesto plnenia. Posledná kapitola je zameraná na vedľajšie dojednania, ktoré si kupujúci a predávajúci môžu v zmluve dohodnúť. Jedná sa najmä o prevzatie tovaru, nároky z vád veci, zodpovednosť za porušenie záväzkov ako aj nadobudnutie vlastníckeho práva.
