The Minority Laws in Capital Corporations

Abstract:

Cílem mojí práce bylo poskytnout přehled o aktuálním stavu právního postavení minoritních společníků kapitálových společností. Tedy zaměřit se na minoritní práva a povinnosti ve společnosti akciové a společnosti s ručením omezeným. Z podaného výkladu jsou jasně patrné oblasti, které upravují specifická minoritní práva. Jednou z těchto oblastí je bezpochyby obchodní zákoník, který je základní úpravou pro právní režim obchodních společností a jejich společníků. Základní úpravu obsaženou v obchodním zákoníku doplnily nově dva zákony, které nově řeší zcela samostatně dvě oblasti obchodního práva. Prvním je zákon č. 104/2008 Sb., o nabídkách převzetí, účinný od 1.4.2008, který přinesl několik důležitých změn ve vztahu k minoritám. Potřebu komplexní úpravy nabídek převzetí přinesl rozvoj kapitálových trhů. Ty jsou totiž potřeba u společností, kde jsou akcie rozpuštěny mezi velké množství akcionářů a je třeba je zkoncentrovat pro ovládnutí společnosti. Nová právní úprava jasně garantuje akcionářům právo na rovné zacházení a ochranu při ovládnutí společnosti. Dalším zřejmým cílem úpravy nabídek převzetí byl zlepšení podmínek pro nové i zahraniční investory. Výrazným krokem k posílení pozice minoritních akcionářů se stal také zákon č. 125/2008 Sb., o přeměnách obchodních společností a družstev, který přebral úpravu do té doby upravenou obchodním zákoníkem. Tímto zákonem byla jasně zakotvena různá nepromlčitelná práva. Zásadním a velice kontroverzním institutem se též stal nový institut squeeze-out, který představuje podle § 183i ObchZ možnost vytěsnění minoritních akcionářů ze společnosti. Lze tady závěrem konstatovat, že právní regulace ochrany menšin se ubírá především ve směru regulace akciového práva a to především u společností, jejichž akcie jsou obchodovány na regulovaném trhu. Smyslem nových legislativních počinů tak do budoucna bude především posílení ochrany investorů a zajišťování konkurenceschopnosti českého trhu.

Abstract:

The aim of my work was to provide an overview of the current status of the legal status of minority shareholders of companies. So focus on minority rights and duties in the company stock and limited liability company. The interpretation of the administered areas are clearly visible, which provide for specific minority rights. One of these is undoubtedly the Commercial Code, which is the basic legal regime for the treatment of companies and their associates. Basic rules contained in the Commercial Code, a newly completed two laws, which now resolves completely separate two areas of commercial law. The first is the Act No. 104/2008 Coll. on takeover bids, effective from 1.4.2008, which brought several important changes in relation to minorities. The need for comprehensive regulation of takeover bids, the expansion of capital markets. These are namely the need for companies where the shares are released among a large number of shareholders and should concentrate on controlling the company. The new law clearly guarantees shareholders the right to equal treatment and protection for control of the company. Another obvious modification to the takeover bid to improve conditions for new and foreign investors. A significant step towards strengthening the position of minority shareholders also became Act No. 125/2008 Coll. transformations of Commercial Companies and Cooperatives, who took over editing until regulate the Commercial Code. This law has been clearly enshrined in various imprescriptible rights. A major and very controversial institute also became a new institute ?squeeze-out?, which is under § 183i of the Commercial Code to squeeze out of the company. There can finally be noted that the legal regulation of minority protection in particular is moving in the direction of control rights and equity, especially for companies whose shares are traded on a regulated market. The purpose of the new legislative achievements of the future will be to strengthen investor protection and ensuring the competitiveness of the Czech market.
