Mergers and Acquisitions and Their Specific and Relevance for the Current Development of Financial Markets

Abstract:

Tato diplomová práce se zabývá dopodrobna tématem fúzí a akvizic, jejich dosavadním i možným budoucím vývojem. V první, teoretické části, se zabývá vysvětlením, proč je toto téma tak aktuální, tedy proč se jím zabývá každá společnost, která chce expandovat a rozšiřovat se. V další kapitole jsou rozebrány důvody, které investory vedou k nákupu. Patří mezi ně jak důvody strategické, finanční, ale i personální. V poslední kapitole teoretické části je pak dopodrobna popsáno, co to jsou fúze a akvizice i z legislativního hlediska. V praktické části je popsáno 6 největších transakcí od roku 2007, a následně je jedna akvizice rozebrána do hloubky. Poslední kapitola této práce je jakousi predikcí autorky ohledně vývoje fúzí a akvizic na trhu.

Abstract:

This diploma thesis deals in details with the topic of mergers and acquisitions, their current and potential future development. In the first, theoretical, part it is concerned with explaining why this subject is so topical, that is why every company that wants to expand is interested in it. In the next chapter the reasons that lead the investor to purchase are discussed. These include the strategic, financial, but also personal reasons. A final theoretical chapter describes in detail what mergers and acquisitions from a legislative standpoint are. The practical part describes the six largest deals since 2007 and these are followed by a deep analysis of one of the acquisitions. The last chapter of this thesis is a kind of predictions about the evolution of the mergers and acquisitions on the market, done by the author.
